Seller Onboarding Policy

Welcome to the Seller Onboarding Policy of SuperPe, operated by SuperPe Marketplace Private Limited (“SuperPe” or “Platform” or “Application”), having its registered office at Third Floor, Building No. 138, 4th Main Road Industrial Town, Rajajinagar, Bangalore North, Bangalore - 560044, Karnataka, India. Please read the below terms before registering on the Platform and review the terms as they are updated from time to time.
These Terms constitute an electronic record in terms of Information Technology Act, 2000 (“IT Act, 2000”), the applicable rules thereunder and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
For the purpose of the Seller Onboarding Policy, wherever the context so requires, “You”, “Your”, “Superseller” and “Seller” shall relate to any natural or legal person who has agreed to become a Seller on the Platform by providing registration data while registering on the Platform. The word “User” shall collectively imply a Seller, a Buyer, and any visitor on the Platform.
Purpose & Scope
1.1 Purpose of the policy: To establish a standardized and transparent process for onboarding new sellers to maintain the integrity of the SuperPe Marketplace and provide a secure and satisfactory experience for all stakeholders.
1.2 Scope: The policy applies to all prospective and existing sellers and businesses who wish to receive payments on the SuperPe Marketplace Platform.
Eligibility Criteria
2.1 Legal age: Must be at least 18 years old.
2.2 Valid business registration: Sellers must provide proof of business registration applicable to the Seller's jurisdiction.
2.3 Tax compliance: Certain determined categories must possess a valid GSTIN (Goods and Services Tax Identification Number) as per Indian tax regulations.
2.4 Bank account: A valid and operational bank account must be provided for receiving payments.
2.5 Compliance with Platform Guidelines: Sellers must agree to and comply with SuperPe’s terms, conditions, and policies.
Registration Process
Step 1: Complete the online registration on the SuperPe Marketplace Application.
Step 2: Submit the required documents, including but not limited to:
- Business registration certificate
- GST certificate (if applicable)
- PAN card
- UDYAM certificate (if applicable)
- FSSAI license (if applicable)
- Bank account details
- Other supporting documents, as required.
Step 3: Acknowledge and agree to the declaration, terms and conditions, and SuperPe’s policy updates as displayed on the Application/website.
Step 4: Undergo a verification process, which may include background checks and a review of business practices.
Accuracy of Information Provided
4.1 Sellers are responsible for ensuring that all details provided during the onboarding process are accurate, complete, and truthful. This includes, but is not limited to:
- Seller/Business legal name and complete registered address.
- Contact Details
- Type of service provider.
- Nature of service.
- Valid and up-to-date identification and registration documents (e.g., GSTIN, Trade License, PAN Card, Aadhar Card, FSSAI License, etc.).
- Bank account details and other payment-related information.
4.2 Sellers are supposed to use the Platform solely to conduct lawful business transactions and provide services or products as described during the onboarding process.
Obligation to Update Information
5.1 Sellers must promptly notify SuperPe of any changes to the information provided and update the details on the Platform as required.
5.2 Failure to update incorrect or outdated information may result in the suspension or termination of the account of the Seller.
Liability for Providing False or Misleading Information
6.1 Sellers are informed that providing false, misleading, or incomplete information during the onboarding process or in the course of business on the Platform is a violation of this declaration's terms.
**6.2 In the event of such a violation, sellers can be made subject to the following penalties:
- Immediate suspension or termination of their Superseller account on the Platform.
- Forfeiture of transaction amounts: Any payments related to transactions conducted under false pretences will be refunded to the original payment source of the Buyer/Sender.
- Additional penalties or fines as determined by SuperPe, in accordance with applicable laws.
Indemnity and Accountability
7.1 You shall indemnify and hold harmless SuperPe, its subsidiaries, affiliates, and their respective officers, directors, agents, and employees, from any claim, demand, or actions, including reasonable legal fees, made by any third party or penalty imposed due to or arising out of Your breach of these Terms or any document incorporated by reference, or Your violation of any law, rules, regulations, or the rights of a third party.
7.2 You hereby expressly release SuperPe and/or its affiliates and/or any of its officers and representatives from any cost, damage, liability, or other consequence arising from the use of this Platform and specifically waive any claims or demands that You may have in this regard under any statute, contract, or otherwise.
Services Provided
8.1 Permitted Services:
Sellers are eligible to register on the SuperPe Marketplace Application under the designated service categories available on the Platform. Registration under these categories is subject to the following:
- Eligibility: Service Providers must select a service category that accurately reflects the nature of the services they offer. The Company reserves the right to verify and approve the selected category during the onboarding process.
- Supported Services: Service Providers may only register under categories approved and supported by the SuperPe Marketplace. Any attempt to register for or list services outside the permitted categories may result in rejection, suspension, or termination of the account.
- Documentation: The Service Provider must submit all required documents applicable to the selected service categories. These may include certifications, licenses, registrations, or any other proof demonstrating their eligibility to provide the listed services.
- Accuracy of Representation: Service Providers are required to provide accurate and truthful details regarding their services. Failure to do so may result in penalties, suspension, or other corrective measures as outlined in the Seller Onboarding Policy.
- Category Updates: In case of any changes to the nature of the services offered, Service Providers must update their category selection and related documentation promptly for review and approval by the Company.
8.2 Prohibited Services:
Sellers are strictly prohibited from listing services that fall under the following categories:
- Illegal Services: Any service prohibited under applicable laws.
- Fraudulent Activities: Services involving scams, phishing, or unethical practices.
- Adult Services: Explicit or pornographic services.
- Hate-Promoting Services: Services promoting violence, hate, or discrimination.
Payment and Refund Policy
9.1 Payment Process: Sellers must ensure the accuracy of their bank account details to avoid payment delays.
9.2 False or Misleading Information: If a Seller is found to have provided inaccurate or false details during onboarding, they will be liable for penalties. Any transaction amount due to such sellers will be refunded to the original payment source of the Sender.
9.3 Compliance with Tax and Financial Regulations: Sellers must comply with all applicable tax laws and regulations and the Platform is not responsible for the same.
Tax Liability
10.1 All Sellers on SuperPe Marketplace are solely responsible for ensuring compliance with applicable tax laws, including but not limited to Income Tax, GST, or any other taxes or levies required by their jurisdiction. Sellers must calculate, report, and remit all applicable taxes related to their services, transactions, and earnings on the Platform.
10.2 SuperPe Marketplace Private Limited acts solely as a facilitator and is not responsible for the Seller's tax obligations or liabilities. Under no circumstances shall SuperPe be held liable for any penalties, fines, or disputes arising from the Seller's non-compliance with tax laws or incorrect reporting of taxes.
Policy Enforcement and Termination
11.1 Reviews: Regular reviews will be conducted to ensure Seller compliance with Platform policies.
11.2 Consequences for Non-Compliance: Sellers in violation of this policy may face temporary suspension or permanent termination of their accounts.
11.3 Legal Action: SuperPe reserves the right to take legal action or impose penalties in cases of fraudulent activity or policy breaches.
11.4 Voluntary Termination: Sellers may terminate their account by following the account closure process outlined in the Seller dashboard.
Waiver
12.1 If You breach these Terms and we take no action, we will still be entitled to use our rights and remedies in any other situation where You breach these Terms.
12.2 SuperPe is not responsible for any non-performance or breach of any contract between You and Buyers/Senders. SuperPe shall not and is not required to mediate or resolve disputes or disagreements between You and Buyers/Senders.
12.3 SuperPe does not make any representations or warranties (such as legal title, creditworthiness, identity, etc.) of any of its Users. Sellers are advised to independently verify the bona fides of any particular Buyer/Sender they choose to deal with on the Platform and use their best judgment in that regard.
12.4 SuperPe does not, at any point during a transaction between a Seller and a Buyer on the Platform, come into possession of or take title to any of the products or services offered by the Seller. SuperPe does not gain rights or claims over the products or services offered by Sellers to Buyers. At no time shall SuperPe hold any right, title, or interest in the items, nor shall it have any obligations or liabilities concerning such a contract.
12.5 SuperPe is not responsible for unsatisfactory or delayed performance of services, damages, or delays.

Amendments to the Policy
14.1 The Company reserves the right to modify, amend, or update this policy at its sole discretion, as and when required. Sellers are expected to regularly review the policy to stay informed about the latest terms and conditions.
14.2 Continued use of the Platform signifies the Seller's acceptance of any modifications or amendments to this policy. It is the Seller's responsibility to ensure compliance with the updated terms to maintain their account and operational privileges on the SuperPe Marketplace.
